1. Introduction

Welcome to Vandzilah Technology Limited (“Vandzilah Technology”, “VDT”, “we”, “our” or “us”).

These Terms of Service govern your access to and use of our website at www.vandzilahtechnology.com, including the information, resources and services made available through it.

Vandzilah Technology Limited is a technology solutions company based in Accra, Ghana, providing digital technology services to businesses, institutions, organisations and other clients in Ghana, across Africa and internationally.

By accessing or using our website, you agree to these Terms of Service. If you do not agree, you should discontinue using the website.

These Terms govern general website use. Specific software development projects, subscriptions, retainers, managed services and other commercial engagements may be governed by separate proposals, statements of work, service-level agreements, licences or signed contracts.

2. About Vandzilah Technology

Vandzilah Technology provides technology and digital transformation services, which may include:

  1. Cloud, web and software development.

  2. Custom applications, enterprise systems and digital platforms.

  3. Artificial intelligence, automation and intelligent systems.

  4. Internet of Things (IoT) solutions and data-driven systems.

  5. UI/UX design, brand identity and creative digital services.

  6. IT consulting, technology operations and infrastructure management.

  7. Development as a Service (DaaS) and ongoing technical support.

  8. Project-based, retainer, managed-service and white-label technology engagements.

The availability, scope and delivery of each service depend on the relevant proposal, agreement and project requirements.

3. Eligibility and Acceptable Use

You may use our website for lawful business, informational and personal purposes.

You agree not to:

  1. Use the website for unlawful, fraudulent, deceptive or harmful activities.

  2. Attempt to gain unauthorised access to our systems, accounts, servers or networks.

  3. Introduce malware, malicious code or other harmful technology.

  4. Disrupt, damage, overload or interfere with the website or its infrastructure.

  5. Scrape, copy or extract website content through automated means in a manner that violates applicable law or our rights.

  6. Infringe our intellectual property or the rights of third parties.

  7. Submit information that you know is false, misleading or unauthorised.

  8. Use our website or services to develop, distribute or operate unlawful products or activities.

We may restrict or suspend access where reasonably necessary to protect our systems, users, business operations or legal rights.

4. Website Information and Enquiries

We make reasonable efforts to ensure that information on our website is useful and accurate. However, website content is provided for general informational purposes and may change without notice.

Descriptions of services, case studies, project examples, performance indicators, client testimonials and business outcomes are illustrative of our work or experience. They do not guarantee that every client will achieve identical results.

Submitting an enquiry, requesting a consultation, downloading a company profile or receiving an indicative quotation does not automatically create a client relationship or binding service contract.

A commercial engagement begins when the applicable contractual requirements, including acceptance of a proposal or execution of an agreement where required, have been satisfied.

5. Proposals, Project Scope and Deliverables

Where VDT provides services under a separate agreement, that agreement should define the relevant scope of work, deliverables, milestones, responsibilities, fees, timelines, acceptance criteria and support obligations.

Unless expressly agreed otherwise:

  1. Project estimates and delivery timelines are indicative until confirmed in writing.

  2. Client approvals, access credentials, content, feedback and other dependencies may affect delivery schedules.

  3. Changes to agreed requirements may require revised pricing, timelines or a formal change request.

  4. Additional work outside the agreed scope may be charged separately.

  5. The client is responsible for reviewing deliverables and providing timely, accurate feedback.

If these Terms conflict with a signed service agreement, statement of work or other applicable contract, the specific agreement will take precedence for the matter it expressly governs, to the extent permitted by law.

6. Fees, Payments and Taxes

Fees, billing schedules, currencies, payment deadlines, deposits, recurring charges, applicable taxes and any late-payment consequences will be specified in the relevant quotation, invoice or service agreement.

Clients agree to pay the amounts due under their applicable agreements.

For subscription-based, retainer or managed-service engagements, the relevant agreement should specify the billing cycle, included services, usage limits, renewal terms, cancellation requirements and any applicable additional charges.

No refund entitlement, service credit or cancellation right is created solely by these website Terms. Such rights will be determined by the applicable contract and mandatory law.

Third-party products, hosting services, cloud resources, domain registrations, licences and other external services may be subject to separate fees and terms.

7. Intellectual Property Rights

Unless otherwise stated, the website and its original content, including text, graphics, branding, logos, layouts, visual designs and other materials, are owned by or licensed to Vandzilah Technology Limited.

You may access and use this content for lawful, personal or internal business purposes. You must not reproduce, redistribute, modify, commercially exploit or publicly display substantial portions of our content without prior written permission, except where applicable law permits such use.

Project-specific intellectual property rights are governed by the relevant client agreement.

Unless that agreement states otherwise:

  1. VDT retains ownership of its pre-existing software, libraries, frameworks, templates, methodologies, tools, reusable components and general technical know-how.

  2. Client ownership or licensing rights in custom deliverables will be determined by the applicable agreement.

  3. Third-party and open-source components remain subject to their respective licence terms.

  4. Clients retain ownership of materials and information they provide, subject to the rights necessary for VDT to perform the agreed services.

Payment, delivery, assignment and licensing conditions for custom software and other commissioned work should be expressly addressed in the applicable contract.

8. Client Materials and Responsibilities

Clients are responsible for ensuring that any information, content, data, software, images, branding, credentials or other materials they provide to VDT may lawfully be used for the intended project.

Clients must obtain any required permissions, consents, licences and authorisations for such materials.

Clients should provide accurate requirements, designate appropriate decision-makers, protect their account credentials and promptly notify VDT of suspected unauthorised access.

Where a project involves personal data, confidential information, regulated information or data belonging to third parties, the parties must establish appropriate contractual, security and data-protection arrangements before processing begins.

9. Confidentiality

Information exchanged during a commercial engagement may be confidential even if it is not marked as such, depending on its nature and the circumstances of disclosure.

Each party's confidentiality obligations will be governed by any applicable non-disclosure agreement, service agreement or other binding arrangement.

Unless otherwise agreed, confidential information should be used only for the purpose for which it was disclosed and should not be shared with unauthorised persons, subject to applicable legal obligations and appropriate exceptions.

Nothing in these website Terms replaces a separately signed confidentiality or non-disclosure agreement.

10. Third-Party Services and Links

Our website may refer to or link to third-party websites, software, hosting providers, cloud platforms, payment services, APIs, integrations or other external resources.

These third parties operate under their own terms and privacy policies. Unless expressly agreed in writing, VDT does not control and is not responsible for the independent operation, availability, content, security or policies of third-party services.

Third-party products and services used in a client project may be subject to separate licences, fees, availability requirements and support arrangements.

11. Website Availability and Security

We aim to maintain a reliable website but do not guarantee uninterrupted, error-free or continuously available access.

We may modify, suspend or discontinue website features for maintenance, upgrades, security reasons, operational needs or other legitimate purposes.

We use reasonable measures appropriate to the circumstances to protect our systems. However, no website or internet-based transmission can be guaranteed to be completely secure.

Nothing in this section excludes a warranty or liability that cannot lawfully be excluded.

12. Technology, AI and Professional Limitations

Technology solutions, including software, AI-enabled systems, automated workflows, IoT platforms and analytics tools, depend on technical configurations, source data, integrations, external systems and operational conditions.

Unless expressly provided in a written agreement, website descriptions do not constitute a guarantee that a particular solution will be uninterrupted, error-free, suitable for every purpose or capable of producing a specific commercial outcome.

AI-generated or automated outputs may require human review and verification. Clients remain responsible for determining whether a solution is suitable for their intended use and for complying with applicable laws and sector-specific requirements.

Where a solution supports healthcare, emergency response, financial, security or other high-impact operations, its intended role, validation requirements, human oversight, service levels and limitations must be addressed in the applicable project documentation.

13. Warranties and Disclaimers

To the extent permitted by applicable law, the website and its general informational content are provided on an “as available” basis.

We do not warrant that all website information will always be complete, current, uninterrupted or free from errors.

Any warranties, service commitments, maintenance obligations, response times or performance standards for paid services will be governed by the relevant written agreement.

Nothing in these Terms excludes statutory rights or warranties that cannot legally be excluded.

14. Limitation of Liability

To the extent permitted by applicable law, Vandzilah Technology Limited will not be liable for indirect, incidental, special, exemplary or consequential losses arising from the use of, or inability to use, the website.

This exclusion may include loss of profits, revenue, anticipated savings, business opportunities, goodwill or data, where such losses are legally excludable.

VDT is not responsible for losses caused by circumstances outside its reasonable control, unauthorised use of client credentials, third-party service failures or client-provided materials, except to the extent liability arises from our own breach of contract, negligence or other conduct for which liability cannot lawfully be excluded.

For paid services, any financial cap on liability must be expressly stated in the applicable agreement and comply with mandatory law.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury where such exclusion is prohibited, or any other liability that cannot lawfully be excluded or limited.

15. Indemnification

To the extent permitted by law, a user or client may be responsible for losses, claims and reasonable costs arising from their unlawful use of the website, infringement of third-party rights, or breach of obligations under an applicable service agreement.

Any contractual indemnity relating to a particular project must be interpreted in accordance with the applicable agreement and mandatory law.

Nothing in this section creates an unlimited indemnity for circumstances where liability cannot lawfully be transferred.

16. Suspension and Termination

We may restrict access to the website where reasonably necessary because of suspected unlawful activity, security risks, abuse or material breach of these Terms.

Termination, suspension, renewal and cancellation of a paid service are governed by the applicable service agreement.

On termination of a commercial engagement, the parties' rights regarding outstanding payments, confidential information, intellectual property, client data, transition assistance and continuing obligations will be determined by the applicable contract and applicable law.

17. Privacy and Data Protection

Your use of our website is also governed by our Privacy Policy, which explains how we collect, use, disclose, retain and protect personal information.

We seek to handle personal information in accordance with applicable data-protection laws, including Ghana's Data Protection Act, 2012 (Act 843), and the GDPR where applicable.

You can access our Privacy Policy at:

18. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our services, business practices, technology or legal obligations.

The revised version will be published on our website with an updated revision date. Changes will apply prospectively, subject to applicable law and any existing contract.

Where a change materially affects an existing contractual relationship, the applicable agreement and mandatory legal requirements will determine how the change takes effect.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana, subject to any mandatory laws that apply to a particular user or transaction.

The parties should first attempt to resolve disputes through good-faith discussions.

If a dispute cannot be resolved amicably, it may be referred to a court of competent jurisdiction in Ghana, subject to applicable law and any valid dispute-resolution agreement.

Nothing in this section prevents a party from exercising mandatory legal rights in another competent jurisdiction where applicable law permits or requires it.

20. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permissible.

A failure to enforce a provision does not automatically waive the right to enforce it later.

These website Terms do not create a partnership, employment relationship, agency or joint venture between VDT and a website visitor.

These Terms, together with the Privacy Policy and any applicable written service agreement, constitute the relevant terms governing website use, subject to the priority and scope of any separate contract.
